Gray Haile LLP Expands Capital Markets Capabilities as Andrew F. Fowler Joins the New York, NY Office

Gray Haile LLP announced today that it has increased the depth of its Capital Markets and Securities Regulatory practice with the addition of Andrew F. Fowler as a partner in Gray Haile’s New York, NY office. 

Mr. Fowler is a veteran corporate attorney who advises clients on capital markets, securities and corporate matters, and has significant restructuring and workout experience.  Mr. Fowler has represented a wide range of investors, public and private companies and governmental entities on an array of sophisticated equity, debt and restructuring transactions aggregating well over $80 billion in value over the past decade.  During that time, Mr. Fowler regularly represented major institutional clients, including The Government of Canada and its export development bank, Verizon Wireless and its affiliated companies, UBS Investment Bank, Barclays Bank PLC, Credit Suisse, Citigroup Capital Markets, NYSE Euronext, and portfolio companies controlled by Alinda Capital, Cerberus, TH Lee Partners, the Carlyle Group and other prominent private equity funds.  He also worked closely with a number of oil, gas and energy project development and services companies as both deal and general outside corporate counsel.

Mr. Fowler will lead capital markets and private equity transactions, offer general corporate advice and strengthen the securities and capital markets expertise available to existing and new Gray Haile clients.  His expertise includes entity formation, structuring and negotiating venture investments in private equity and emerging companies for issuers and investors, leading SEC-registered transactions and public company representations, PIPEs, Reg D and other 4(2) offerings, initial public offerings, convertible and structured debt and exchange and tender offers.  He will also counsel on distressed debt and restructuring issues.

Mr. Fowler’s addition reflects Gray Haile’s ongoing strategic focus on providing sophisticated transactional and regulatory legal services to the middle market.  He joins a team of Gray Haile securities attorneys including several former SEC staffers and in-house attorneys from Fortune 500 companies.   

Mr. Fowler spent most of his career affiliated with the New York offices of Skadden, Arps, Slate, Meagher & Flom LLP and Milbank, Tweed, Hadley & McCloy LLP.  Prior to receiving his J.D. from Cornell University Law School in 1998, he received a temporary appointment at the U.S. State Department, where he focused on scientific and economic development issues.
