Professional Experience
Arkan Haile is a founding partner of Gray Haile LLP. Mr. Haile counsels clients ranging from investors, entrepreneurs and start-ups to non-profit and public companies in various transactional, business and corporate governance matters. He represents buyers and sellers with respect to mergers, acquisitions, divestitures and joint ventures, and private equity and venture capital investments. He represents non-profit organizations, governmental entities and underwriters in connection with tax-exempt bond financing. Mr. Haile also represents clients involved in disputes, specifically, by providing strategic advice and results-oriented advocacy and bringing a matter to successful closure.
Mr. Haile made his mark as a finance and corporate associate at the law firms of Patton Boggs LLP and Kutak Rock LLP. In 2005, Mr. Haile taught Comparative Commercial Law and Legal Writing at the University of Asmara Faculty of Law in Eritrea (Africa). Prior to his legal career, he was a financial analyst for a Fortune 500 corporation.

MERGERS & ACQUISITIONS
- Represented Motiva Enterprises LLC (a joint venture between Shell Oil and Saudi Aramco) in connection with the divestiture and sale of several of its petroleum products terminals
- Represented a leading provider of products and services in support of Human Intelligence and Signal Intelligence operations in connection with its proposed sale to a private equity firm
- Represented a leading manufacturer of high-performance radar simulators in its proposed sale to a strategic buyer
- Represented a real estate holding company in its merger with six affiliates and reorganization into a Delaware Series LLC
- Represented the Eritrean Community in Colorado, Inc. in its acquisition and financing of an office and retail space
Private Equity and Private Placements
- Represented a developer in its negotiation and acquisition of an ownership interest in the master development entity for a $1.5B development project in Washington, DC
- Represented a start-up company in the oil and gas industry in its organization and financing, including effecting its Regulation D equity and debt raise
- Represented a sovereign fund in a series of transactions in connection with its various financial and real estate holdings in the U.S., Europe and Mexico, including issuance of letters of credit, securing loans for its affiliates and arrangement of investment management services
pUBLIC FINANCE
- Served as bond or special counsel in the issuance of several charter school and
higher education revenue bonds in Colorado and Washington, D.C.
- Served as bond or underwriter’s counsel in the issuance of several metropolitan district general obligation bonds and revenue bonds for the financing of various projects in multiple states.
Dispute Resolution
Successfully represented:
- A publicly traded corporation in its dispute with its co-venturer, also a large corporation, in the unwinding of their jointly owned property
- Several shareholders and officers accused of breaching their duty of loyalty, in particular, the corporate opportunity doctrine
- A shareholder in his dispute with other shareholders involving claims of breach of contract and violations of fiduciary duties
- An putative inventor in a patent dispute with his coinventor and a large state university
